Skip to content1. Provider and purpose
- This English version is provided for convenience; only the French version is binding.
- These terms govern the services of Helaio, trading name of Olivier Herbelin, sole trader, Nehamya Tamari 9, Ramat Gan, Israel, reachable at contact@helaio.com: creation of a website from a questionnaire and a template, then hosting, maintenance and access to an editing area.
- They are addressed to professionals, for their business. Any order means acceptance of these terms.
2. Reseller
- Orders are processed by Paddle.com Market Ltd as authorised reseller and Merchant of Record. Paddle’s terms of sale apply to the purchase: Paddle collects the payment, issues the invoice and applies VAT.
- Helaio remains solely responsible for the service itself: creation, hosting, maintenance and support.
3. Services
- Creation: the client provides their information (identity, services, prices, opening hours, texts, photos) or lets artificial intelligence write it from their story. They see their finished site before paying.
- Hosting and maintenance: the site goes live on a helaio.com subdomain or on the client’s domain name, then is hosted, backed up every day and maintained continuously.
- Client area: the client edits their texts, prices, opening hours and news themselves; each change rebuilds and republishes the site. What they cannot do alone can be entrusted to Helaio, at the price of the “change done for you” option.
- Not included: collecting payment for sessions, patient records, teleconsultation, booking operated by Helaio.
4. Plans, prices and payment
- Three creation plans (Solo, Solo Avancé, Solo Intégral), one-off, monthly or yearly options, and option bundles, at the prices published on helaio.com on the day of the order.
- Prices include VAT. A VAT-registered business that provides a valid EU VAT number pays the price excluding VAT and self-accounts for VAT. Paddle calculates this at payment.
- The creation fee is paid when the site goes live. The subscription starts on the day the site goes live. It is paid monthly or yearly, as the client chooses; a change of plan or billing period takes effect at the next renewal.
- A declined payment is retried by Paddle. If not settled fifteen days after an unanswered reminder, the site may be suspended, never deleted; it is restored as soon as payment is made.
5. Satisfaction guarantee
- A client who is not satisfied is refunded the creation fee if they ask within 14 days after their site goes live, without having to give a reason, by e-mail to contact@helaio.com.
- The refund is made by Paddle to the payment method used, within 14 days of that e-mail. It covers neither subscription periods already due nor a domain name already registered, which remains the client’s property.
- The site is then taken offline. As the fee is refunded, no archive is delivered: the site, its files and its content are deleted from Helaio’s servers within thirty days, and from backups no later than 90 days afterwards.
6. Termination and exit
- The subscription has no minimum term. The client may cancel it at any time, from their client area or in writing; cancellation takes effect at the end of the paid period. The site stays online until then.
- In the event of serious breach by either party, the other may terminate without notice after a formal notice that remains unanswered for fifteen days.
- If Helaio ceases business, it informs each client by e-mail and keeps providing the service until the end of the month following that announcement; the archive and the domain transfer code are delivered before that date.
- When the contract ends, for whatever reason — except a refund of the creation fee (section 5) —, the client receives within thirty days a complete archive of their site: static HTML pages ready to be hosted elsewhere, images, texts and content file. The archive is kept for 90 days: during that period, the download link, valid for 24 hours, is renewed by simple e-mail.
- The domain name is transferred to the client unconditionally and free of charge: Helaio provides the authorisation code within seven days of the client’s e-mail; the transfer to the registrar of their choice then usually takes five to seven days.
- Thirty days after the archive is delivered, the site, its files and its content are deleted from Helaio’s servers; they disappear from backups no later than 90 days afterwards, and the archive itself 90 days after it was created. Billing data is kept by Paddle for as long as its legal obligations require.
7. Domain name
- The domain name is registered in the client’s name. If, at the client’s choice, it is registered by Helaio, Helaio undertakes to transfer it to the client by simple e-mail.
- Where the plan or option ordered provides for it, the first year of the domain name is included up to €25 per year, for the extensions .fr, .com, .net, .eu. Above that ceiling, or for another extension, the difference between the actual price and the ceiling is payable by the client; it is shown before any payment.
- Renewal is charged €24 per year when the actual price stays within the ceiling for one of these extensions; otherwise, it is charged at the actual renewal price, converted into euros at the day’s rate.
- Premium domain names and names sold by their holder are never included: the client may acquire them directly, and Helaio then connects them to their site free of charge.
8. Intellectual property
- Texts and images created for the client’s site, by Helaio or by artificial intelligence, are assigned to the client when the site goes live, once the creation fee is paid, for all uses and for the whole duration of the rights.
- The client warrants that they hold the rights to the content they provide (texts, photos, logo) and that it infringes no one’s rights.
- The creation engine, templates, designs, visual identity and code remain the property of Helaio. The client receives the right to use them for their site, including after leaving, in the version delivered in their archive.
9. Liability and availability
- Helaio has an obligation of means. It does not guarantee a quantified availability but uses reasonable means to maintain it, and backs up the site and its content every day.
- Its liability is limited to the amount paid by the client in the twelve months preceding the event giving rise to it; indirect damage (loss of clients, revenue or reputation) is excluded.
- Helaio is not liable for content provided or edited by the client, nor for interruptions caused by third parties: internet provider, registrar, booking tool, Paddle, or force majeure.
10. Client obligations
- The client provides accurate, up-to-date information and checks the legal notice of their site before it goes live, then whenever their situation changes.
- The client is solely responsible for the content of their site (texts, images, prices, claims) and its compliance with the rules of their profession and advertising regulations.
- The client uses no protected title (doctor, psychologist, psychotherapist, osteopath, physiotherapist…) and no qualification they do not hold.
- Helaio acts as host and removes any manifestly unlawful content reported to it.
11. Personal data
- For the data of visitors to their site, the client is the controller and Helaio the processor, under the conditions of the annex below. For the client’s own data, the helaio.com privacy policy applies.
12. Governing law and disputes
- These terms are governed by French law. Failing amicable settlement, any dispute falls under the competent courts of Paris.
- A professional employing five people or fewer who orders a service outside the scope of their main activity benefits from the fourteen-day withdrawal right provided by the French Consumer Code (article L221-3).
- A client established in Israel also benefits from the cancellation rules of the Israeli Consumer Protection Law where they are more favourable.
